Supervisory Board

The method of work, calling the meetings and other matters relevant to the work of the Supervisory Board of Poslovni sistem Mercator, d.d., are set out in the Poslovni sistem Mercator, d.d., Supervisory Board Rules of Procedure.


The primary function of the Supervisory Board is to supervise the management of Company affairs. Half of the members representing the interests of shareholders are elected by the Meeting and, in accordance with the Worker Participation in Management Act, the members representing the interests of workers are elected by the Mercator Group Works Council.


Supervisory Board members are elected for four years and can be re-elected at the end of their mandate.

In accordance with the law and the provisions of the Rules of Procedure of the Supervisory Board, the Supervisory Board convenes at least once every quarter and must convene once every half-year. The Supervisory Board of Poslovni sistem Mercator, d.d., convenes for at least five regular meetings per year.

The Supervisory Board appoints the Audit Committee that works in accordance with the law and the provisions of the Rules of Procedure of the Supervisory Board’s Audit Committee.

The Supervisory Board also appoints the Human Resource Committee that works in accordance with the law and the provisions of the Rules of Procedure of the Supervisory Board’s Human Resource Committee and the Strategy and Finance Committee that works in accordance with the law and the provisions of the Rules of procedure of the Strategy and Finance Committee.
